AN OPEN-MINDED AND COMMITTED
BOARD OF DIRECTORS(1)

Convinced that stringent governance creates value for the company, the directors express their opinions in total independence, and act with the company’s long-term interest always first in mind. In 2014, the composition of the Board was broadened and diversified, with an increase in the number of women members, and the appointment of two employee members. The Board fosters strategic reflection and impetus, and reviews the main axes and opportunities for development, including acquisitions. It makes sure that the decisions made contribute to the implementation of the strategy.

THE EXECUTIVE COMMITTEE

The Executive Committee sets strategic guidelines and directs the group’s activities worldwide. The organisation of L’Oréal changed in 2014 with the appointment of a Chief Digital Officer, Lubomira Rochet. Barbara Lavernos also joined the Executive Committee as Executive Vice-President Operations.

Created in 2000, the Code of Ethics is the reference document that inspires the choices and guides the actions of L’Oréal's employees worldwide, whatever their position, on a daily basis. In 2014, the third edition of the Code was launched. For the past six years, Ethics Day has brought together employees from around the world in order to facilitate dialogue on this subject within the group. In 2014, more than 50% of employees took part, over 4,000 questions were raised and analysed to identify practical initiatives. The ethics e-learning is a key element of the group's policy. It is mandatory since March 2014: this is the first time all employees within L'Oréal are invited to follow a common training course.

In 2014, L’Oréal was once again recognised as one of the “World’s Most Ethical Companies” by the Ethisphere Institute, which awards exemplary ethical practices each year. “Because it is fundamental for our success to obtain results with respect and integrity, L’Oréal puts Ethics at the heart of its strategy”,
Emmanuel Lulin,
the Senior Vice-President and Chief Ethics Officer.

L’Oréal has been included in the United Nations Global Compact 100 since its creation in 2013 - a global stock index of companies that have surpassed financial markets with a total investment return of more than 25%. In 2014, L’Oréal submitted a Communication on Progress at the “GC Advanced” level, highlighting its commitment to the United Nations Global Compact.

Jean-Paul Agon signed on behalf of L’Oréal the “Women’s Empowerment Principles”, a UN Women and UN Global Compact initiative which aims to promote gender equality and the empowerment of women in the workplace, marketplace and community.
